Event Terms and Release of Liability Agreement

This Terms and Conditions and Release of Liability Agreement (the “Event Terms”) pertains specifically to events hosted by Zenleads Inc. dba Apollo.io (“Apollo”, “Host” or “we”) (each an “Event” and collectively, the “Events”). These Event Terms apply to all Participants (“Participant(s), Attendee(s)” or “you”) at Events. By registering for or attending the Event in any capacity, and in consideration of being permitted to participate in the Event, constitutes your acceptance of these Event Terms and any associated Official Rules now or hereinafter provided.
  • 1. Registration

    To register for the Event, you must complete the Event registration process and pay any applicable registration fees. Full payment is due at time of registration. Registration for an Event is not valid until you have received written confirmation from Apollo by email or other printed or electronic means. Each Event registration is good for only one (1) named Attendee. You must only provide Event registration details that are your own and are accurate. You must not share Event badges or credentials with any other party.

  • 2. Cancellations

    Apollo may cancel an Event at any time for any reason, and may also deny, limit, or cancel your Event registration at any time. Apollo is not responsible for any damages, direct or indirect, resulting from such cancellation. If we cancel an Event or your registration and you are in compliance with these Terms, you will be issued a refund for your Event registration fees only.

  • 3. Safety Requirements

    All registrations for and your attendance at an Event are subject to all safety and health requirements and policies put in place by Apollo, federal, state, and local health officials, and/or the Event venue, including but not limited to COVID-19 safety precautions (the “Safety Requirements”). Such policies and requirements may be updated from time to time in the sole determination of Apollo. You acknowledge and agree to comply with the Safety Requirements (including all requirements that must be satisfied prior to or during the Event), and your attendance at the Event is conditioned on such compliance.

  • 4. Event Conduct

    All Event attendees are expected to behave professionally, and to comply with all applicable laws and regulations in the state where the Event is held, and the applicable rules of the venue where the Event is held. Harassment, bullying, discrimination and other forms of inappropriate conduct of any kind are prohibited. Apollo reserves the right to remove you from the Event and prohibit you from participating in future events for any disruptive, harassing, vulgar, defamatory, discriminatory, hateful or otherwise offensive behavior. Apollo additionally reserves the right to disqualify you from the Event if, in Apollo’s sole discretion, it reasonably believes that you have attempted to undermine the legitimate operation of the Event by cheating, deception, or other unfair playing practices or annoys, abuses, threatens or harasses any other entrants, Apollo, or associated third parties such as speakers, hosts or judges. No refunds of fees or other costs will be made in these circumstances.

  • 5. Event Details

    Apollo reserves the right to make changes to the agenda, format, speakers, location and any other aspect of an Event without notice and without liability to you. Views expressed by any attendee, speaker, or sponsor of the Event are their own.

  • 6. Intellectual Property

    To the extent the Event involves submitting an application, product or prototype, sales execution or solution (“Solution”), you warrant and represent that you own all of the intellectual and industrial property rights in and to the Solution (“Intellectual Property”). You agree as a condition of entry, to hereby irrevocably assign, transfer, and convey to Apollo all right, title, and interest worldwide in and to all Intellectual Property and Solution(s) created, developed, or conceived in connection with the Event; including, but not limited to, all code, prototypes, designs, documentation and application. This assignment is effective immediately upon creation and regardless of whether the entry wins a prize. All work products created during the Event, including all deliverables and derivative works, shall be considered 'work made for hire' for Apollo. To the extent any such work product does not qualify as a 'work made for hire,' you hereby assign all right, title, and interest in such work product to Apollo. Furthermore, you agree that no portion of the Solution should be deemed to be owned by you.

  • 7. Privacy

    When you register for an Event, Apollo collects personally identifying information about you, including your name, email address, and company name. You agree that Apollo may use this information to contact you about the Event and for future marketing purposes.   • 8. Confidentiality

    You represent and warrant that you are fully authorized to share any information at the Event, whether oral or written, and that you will not disclose any confidential information to Apollo or others at the Event.

  • 9. Release

    You recognize and acknowledge that your participation in the Event is voluntary, and that you acknowledge and fully assume all risk of participating in the Event, including risk of personal injury. By participating in the Event, you agree to release Apollo and any other organizations affiliated with the Event and each of their respective parents, agents, affiliates, subsidiaries, and prize suppliers, and each of their respective officers, directors, agents,representatives and employees, as well as each of their respective successors, representatives and assigns (collectively, the "Released Parties") from any and all actions, claims, injury, loss or damage arising in any manner, in whole or in part, directly or indirectly, from participation in this Event, regardless of fault, including any travel/activity related thereto (or portion thereof). You further release Apollo from any liability associated with: (a) any malfunction or other problem with the Event registration website; (b) any error in the collection, processing, or retention of entry information; or (c) any typographical or other error in the printing, offering or announcement of any prize or winners.

  • 10. Indemnification

    You agree to indemnify and defend Apollo against all claims, causes of action, damages, judgments, costs or expenses, including attorneys’ fees and other litigation costs, which may in any way from my participation in the Event.

  • 11. Photo Release

    You understand while participating in the Event, you may be photographed. You agree to allow your photo, video, or film likeness to be used for any legitimate purpose by Apollo, Event producers, sponsors, organizers, and assigns.

  • 12. Choice of Law; Severability

    Any legal or equitable claim that may arise from participation in the above shall be resolved under the laws of California and you acknowledge that if any part of this agreement is invalid the remaining portions shall continue in full force and effect.

  • YOU ACKNOWLEDGE THAT YOU ARE AT LEAST 18 YEARS OF AGE OR OLDER, HAVE READ AND UNDERSTAND THE TERMS OF THIS AGREEMENT, UNDERSTAND THAT YOU ARE GIVING UP SUBSTANTIAL RIGHTS BY SIGNING THIS AGREEMENT, HAVE SIGNED IT VOLUNTARILY AND WITHOUT ANY INDUCEMENT AND INTEND IT TO BE A COMPLETE AND UNCONDITIONAL RELEASE OF ALL LIABILITY TO THE GREATEST EXTENT ALLOWED BY LAW.
